Terms and Conditions

These Terms and Conditions apply to H&S Nexus retail sales, wholesale transactions, platform use, support channels, and all customer and business dealings conducted through the website and its related services.

1. Scope and Acceptance

These Terms and Conditions govern access to and use of the H&S Nexus website, its brand pages, product listings, customer support channels, checkout and quotation flows, and related retail and wholesale services. By using the platform or placing an order, you agree to these Terms.

2. Platform Role and Customer Type

H&S Nexus operates as an e-commerce platform serving both retail customers and business buyers. Some products are sold directly by H&S Nexus, while others may be offered through a brand, vendor, or supplier arrangement managed through the platform.

If you place an order or request a quotation for a business, you confirm that you are authorized to act on that business's behalf.

3. Orders, Availability, and Acceptance

  • All orders, carts, quotations, and wholesale negotiations are subject to stock availability, serviceability, payment verification, fraud screening, and final acceptance by H&S Nexus.
  • We may limit quantities, decline a transaction, or cancel an order when there is a pricing error, supply issue, suspected misuse, incomplete information, or inability to fulfill the order properly.
  • Order acknowledgements, automated emails, or quotation exchanges do not amount to final acceptance until the order is confirmed for processing or dispatch.

4. Pricing and Payment

  • Prices, shipping charges, service fees, taxes, and promotional offers may change without prior notice until an order is accepted.
  • You must provide complete and accurate billing, shipping, and payment information and must be authorized to use the payment method submitted.
  • Payments must clear successfully before dispatch, release, or activation unless a separate wholesale credit or invoicing arrangement is approved in writing.

5. Shipping, Delivery, and Transfer of Risk

Retail orders are shipped door-to-door within serviceable locations in the Philippines. Delivery timing depends on product availability, payment clearance, destination, carrier operations, weather, force majeure events, and access conditions at the delivery address.

Wholesale fulfillment, freight method, lead time, unloading, split deliveries, special handling, and acceptance procedures are governed by the agreed quotation, purchase order, invoice, or other written arrangement between the parties.

Customers are responsible for providing an accurate, complete, and deliverable address. Risk of loss or damage transfers upon actual delivery, acceptance, or turnover to the consignee or authorized recipient, subject to mandatory rights under applicable law.

6. Returns, Replacements, and Refunds

Retail return and refund requests must be raised within seven (7) calendar days from receipt of the item. Eligible cases include damaged, defective, incomplete, incorrect, or materially misdescribed items. Unused and unopened non-perishable items may also be considered within the same seven-day window if they remain fit for resale.

Perishable goods, opened pet food or treats, opened hygiene items, customized goods, digital goods, gift cards, and final-sale items are generally non-returnable unless defective or legally required otherwise.

Approved resolutions may include replacement, exchange, store credit, or refund to the original payment method, depending on stock availability, product condition, and the nature of the issue. Wholesale returns, shortages, and claims are handled under the written commercial terms agreed by the parties, or if none exist, must be reported within seven (7) calendar days from receipt.

7. Product Information and Responsible Use

We aim to present accurate pricing, descriptions, imagery, sizes, ingredient or material details, and availability, but packaging, color, specifications, supplier data, and inventory status may change without notice.

Customers are responsible for reading product details, instructions, and suitability information before purchase or use, particularly for pet-care, wellness, electrical, and other category-specific products.

8. Promotions, Content, and Intellectual Property

Promotions, discount codes, bundles, limited offers, and campaign mechanics are governed by the specific terms attached to each offer and may be withdrawn, modified, or limited at any time.

All website content, branding, product-page layouts, graphics, trade names, logos, written copy, and platform materials remain the property of H&S Nexus or the applicable rights holder. You may not reproduce, resell, scrape, modify, distribute, or commercially exploit them without prior written permission.

9. Prohibited Conduct

  • Using the platform for unlawful, fraudulent, abusive, or unauthorized purposes.
  • Interfering with website security, availability, or normal operations.
  • Submitting false information, impersonating another person or business, or attempting charge abuse.
  • Using bots, scraping tools, or automated systems in a way that harms the platform or circumvents commercial controls.

10. Liability, Delays, and Force Majeure

H&S Nexus is responsible for fulfilling accepted orders with reasonable care, but is not liable for delay or failure caused by events beyond reasonable control, including courier disruptions, severe weather, natural disasters, government restrictions, system outages, supplier interruption, or other force majeure events.

To the extent permitted by law, liability for any claim relating to a transaction is limited to the amount actually paid for the affected order or service, without prejudice to rights that cannot be waived under applicable consumer protection law.

11. Governing Law and Commercial Priority

These Terms are governed by the laws of the Philippines. Any dispute not resolved directly shall be subject to the proper courts of the Philippines, taking into account applicable rules on jurisdiction and venue.

For wholesale, bulk, enterprise, or custom commercial transactions, the signed quotation, purchase order, invoice, sales agreement, or similar written commercial document will prevail over these general Terms to the extent of any direct conflict.

12. Changes to These Terms

We may update these Terms when our operations, product mix, commercial structure, logistics arrangements, or legal requirements change. The updated version becomes effective once posted on the website.
