Terms of Service

By accessing the Health & Smart Nexus website (the "Site"), any brand storefront (CleanPets, Solar Nexus), creating an account, or placing an order, you agree to these Terms. If you use the Site on behalf of a company, you represent that you have authority to bind that entity.

1. Acceptance and Eligibility

You represent that you are at least the age of majority in your place of residence and legally able to enter into binding transactions. You agree to provide accurate information and keep your login credentials confidential.

2. Accounts and Acceptable Use

You may not:

  • Use the Site for unlawful, fraudulent, misleading, or unauthorized purposes.
  • Attempt to interfere with the Site, bypass security features, scrape data, harvest customer information, or disrupt checkout or infrastructure.
  • Impersonate another person or entity, submit false reviews or claims, or misuse promotions, warranties, refunds, chargebacks, or support channels.
  • Upload malicious code, test vulnerabilities without authorization, or transmit harmful, infringing, or abusive content.
  • Purchase products for unauthorized resale where reseller authorization is required or restricted.

3. Product Information, Availability, and Compatibility

We aim to present products, images, descriptions, specifications, pricing, and availability accurately, but errors or delays can occur. Colors and packaging may appear differently depending on your device.

  • Product availability may change without notice and items may be discontinued, limited, or delayed.
  • You are responsible for confirming that a product is suitable for your intended use, including pet species, software compatibility, voltage, dimensions, and local regulatory restrictions.
  • Some products may be subject to additional instructions, warranties, manufacturer notices, user manuals, or license terms.

4. Orders, Pricing, and Payment

An order confirmation email or checkout receipt only acknowledges receipt. Your order is not accepted until we verify it and dispatch the item, provide access to a digital product, or otherwise confirm acceptance.

  • We may refuse, limit, cancel, or hold any order for reasons including suspected fraud, inventory issues, pricing errors, shipping restrictions, or payment problems.
  • Prices, promotions, taxes, shipping charges, and availability may change at any time before acceptance.
  • You authorize us and our payment providers to charge the selected payment method for the total amount due.

5. Digital Products, Software Licenses, and Accounts

Applies to all H&S Nexus digital products

This section covers AI Smart Governance (VS Code extension, Workbench desktop app, governed runtime, and associated CLI tooling) sold through E-Shop Nexus, plus future H&S Nexus software products and subscriptions sold under any H&S Nexus brand.

Customer-facing terms, privacy, and refund handling for H&S Nexus software products are published through this unified legal hub, even when the product is sold from an E-Shop Nexus route.

5a. License Grant

Subject to these Terms and any applicable subscription, Health & Smart Nexus Ventures ("HSNV") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the purchased digital product solely on your own devices for your own internal development or personal use purposes. This license is conditional on your continued compliance with these Terms and an active, valid subscription where applicable.

5b. License Restrictions

You may not, and may not permit others to:

  • Copy, modify, merge, sublicense, distribute, or sell the software or any portion of it.
  • Reverse engineer, disassemble, decompile, or extract source code from encrypted or compiled components.
  • Remove or alter any copyright, trademark, or proprietary notice embedded in the software.
  • Use the software to build a competing product or service.
  • Rent, lease, lend, or transfer the software or any license key to third parties.
  • Use the software in violation of any applicable law or regulation.

5c. Product Tiers and Subscriptions

  • Free Tier โ€” Available at no charge. HSNV reserves the right to change, limit, or discontinue the Free Tier at any time with reasonable notice.
  • Bundled Introductory Window โ€” HSNV may offer a time-limited promotional trial (e.g., up to 20 days) with eligible installations. Where offered, the trial activates on first install, is tied to machine and account markers, and ends automatically at the stated date. The trial does not create an ongoing paid subscription.
  • Paid Tiers (e.g., Tier1, Enterprise) โ€” Require a valid active subscription purchased through our authorized checkout. Billing cycles, refunds, and downgrade behavior are governed by the Software Refund Policy.
  • Tier Activation and Reversion โ€” Paid-tier activation may provision HSNV-managed features in your workspace. Downgrade, expiry, or cancellation may disable paid features and revert only HSNV-managed assets to the Free baseline while leaving your own project files intact.

5d. H&S Nexus Account and Activation

All digital product purchases and subscriptions are tied to your H&S Nexus account, registered at hsnexus.com. Your account is the single sign-on credential for all H&S Nexus digital products โ€” current and future.

  • Purchase a subscription on E-Shop Nexus โ†’ your account is credited with the corresponding entitlement in your account dashboard.
  • Open the product (e.g., AI Smart Governance) โ†’ sign in with the same H&S Nexus account โ†’ the product validates your entitlement and unlocks the purchased tier.
  • You may manage, cancel, or review your subscriptions at any time from your account dashboard at hsnexus.com/account.
  • License keys, where issued, are cryptographically tied to your account and machine. You must not share, transfer, or redistribute license keys.

5e. License Validation Data

When a digital product validates your entitlement against H&S Nexus servers, the following data may be exchanged: a one-way hash of your license key, a one-way hash of your machine fingerprint, and your subscription status. No workspace content, source code, file names, or project data is transmitted as part of normal validation. See the Privacy Policy for full details.

5f. Intellectual Property

All software, scaffold instruction content, governance logic, templates, rule sets, configuration schemas, and encryption infrastructure is the exclusive intellectual property of HSNV and its licensors. 6. Product Use and Safety

You are responsible for using products safely and according to all labels, instructions, manuals, safety notices, and professional guidance.

  • Pet products: Should be selected for your animal's condition, age, allergies, and veterinary guidance.
  • Electronics and solar: Must be used only with compatible systems, supported power sources, and proper environmental conditions.
  • Software: Should be used with supported operating systems and IDE versions as documented. Damage arising from misuse, unauthorized modification, or unsupported environments may void support eligibility.

7. Intellectual Property

All Site content, including software, layout, text, images, graphics, branding, product compilations, and underlying technology, is owned by Health & Smart Nexus or its licensors and protected by intellectual property laws.

Except for limited personal use, you may not copy, reproduce, distribute, modify, publish, display, or create derivative works from the Site without prior written permission.

8. Third-Party Services

The Site may rely on third-party payment gateways such as PayMongo and PayPal, authentication providers such as Supabase, carriers, software providers, or linked websites. We are not responsible for third-party systems, policies, or content except to the extent required by law.

9. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Site and all products, services, and content are provided on an "as is" and "as available" basis, without warranties of any kind except those that cannot legally be excluded.

Our aggregate liability for any claim relating to a product or order will not exceed the amount you paid for the specific product or service giving rise to the claim.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes may be referred to the proper courts of the Philippines with subject-matter jurisdiction.

For users subject to laws requiring local governing law (e.g., EU consumer protection), those mandatory provisions remain in effect.

Privacy Policy

This Privacy Policy describes how Health & Smart Nexus Ventures ("HSNV", "we", "us") collects, uses, shares, and protects information across all our brands and products.

1. Information We Collect

  • Account and contact details: Name, email, phone, billing address, shipping address, and account credentials.
  • Order and payment data: Items purchased, delivery preferences, order history, invoices, and payment confirmations. Card or wallet credentials are processed by approved payment providers such as PayMongo and PayPal and are never stored by us.
  • Support communications: Messages, reviews, warranty requests, chat content, and troubleshooting material you send.
  • Device and usage information: IP address, browser type, device identifiers, referral source, cookie data, pages viewed, and session activity.
  • Preference data: Saved cart items, wish lists, marketing preferences, region, language, and product interests.
For AI Smart Governance users

The software operates locally on the machine where it is installed. We do not collect your source code, repository files, repository names, AI prompts, or model responses. Optional diagnostic bundles are only shared if you deliberately confirm submission.

Project workspace files remain on your machine unless you explicitly connect to an HSNV-operated service or choose to send support material. License key hashes (SHA-256), machine fingerprint hashes, and subscription status are exchanged during validation. No workspace content is transmitted as part of normal validation.

2. How We Use Your Information

  • To create accounts, process payments, fulfill orders, arrange shipping, complete returns, and provide customer support.
  • To personalize the Site, recommend relevant products, and improve merchandising across all categories.
  • To operate security controls, prevent fraud, verify transactions, investigate abuse, and protect customers and business.
  • To send service communications (order confirmations, tracking, recalls, security alerts, policy changes).
  • To send promotional communications where permitted by law and according to your preferences.
  • To meet legal, tax, accounting, consumer-protection, warranty, and record-retention obligations.

3. Data Sharing

We do not sell personal information. We share data only with:

  • Payment processors such as PayMongo and PayPal that authorize payments and manage refunds.
  • Authentication providers (Supabase) for account management.
  • Shipping and logistics partners that deliver, inspect, or service products.
  • Technology and operations vendors that host the Site and support analytics.
  • Regulators, courts, law enforcement when required by law.

6. Security

  • License key hashes stored using SHA-256 one-way hashing.
  • Machine fingerprint data hashed before transmission.
  • All communications use TLS 1.2 or higher.
  • Scaffold content IP is AES-256-GCM encrypted at rest.
  • Payment card data processed by PCI-DSS compliant providers.

7. International Transfers

HSNV is based in the Philippines. For EU/EEA users, transfers are conducted under Standard Contractual Clauses (SCCs) or other appropriate safeguards.

8. Children's Privacy

Our products and services are intended for professional and adult use. We do not knowingly collect personal data from individuals under 18. If you become aware that a minor has provided personal data, contact us at inquiry@hsnexus.com.

Return & Refund Policy โ€” Physical Products

This policy applies to physical products purchased through CleanPets and Solar Nexus. For digital software products, see the Software Refund Policy.

This unified policy is currently shown with Philippines storefront defaults for customer support and returns handling.

1. Return Eligibility

Most eligible physical items may be returned within 7 days of delivery if unused, in original packaging, with proof of purchase, and not otherwise restricted.

2. Statutory Rights

Nothing in this policy limits your rights under applicable consumer protection law. If a product is defective, non-conforming, expired, counterfeit, or otherwise unlawful for sale, you may request repair, replacement, or refund, subject to inspection and verification.

3. Category-Specific Conditions

  • Electronics/devices: Defect claims should be made within 7 days with invoice and packaging. Technical inspection may be required. After 7 days, manufacturer warranty applies.
  • Pet products: Must be unused, in original packaging, with proof of purchase, and returned within 7โ€“14 days. Pet-tech items follow supplier warranty after initial window.
  • Food/consumables: Perishables must be reported within 24 hours; non-perishables within 7 days. Only defective, expired, damaged, or incorrect items are returnable.
  • Solar products: Subject to manufacturer warranty terms. Installation-related claims may require inspection by qualified technician.

4. Change of Mind

Returns for non-defective items are accepted only where expressly offered. Items must be unused, resalable, in original packaging, and supported by proof of purchase. Change of mind, color preference, or price found elsewhere does not entitle you to a return unless a specific promotion says otherwise.

5. Repair and Replacement

If repair or replacement will take more than 15 days, we will provide a substitute or compensate you for a reasonable substitute cost, as required by law.

6. Refund Method

Refunds are processed to the original payment method unless you agree otherwise. Where a cash refund is due by law, you cannot be forced to take store credit or points instead.

7. Return Shipping

For approved claims involving defect, malfunction, wrong item, or merchant fault, we will provide return instructions and, where required by law, cover return shipping costs.

8. Proof and Claim Process

Please provide your invoice/order number, product, accessories, and reasonable evidence of the issue. We may inspect the product before approval. Claims may be denied if the defect is due to misuse, mishandling, unauthorized repair, or tampering.

Software Products Refund Policy

This policy applies to digital software products distributed through E-Shop Nexus, including AI Smart Governance (VS Code extension, Workbench desktop app, governed runtime, and associated command-line tooling) plus future H&S Nexus software products where the applicable order does not provide a narrower product-specific override.

1. Free Tier

The Free Tier of AI Smart Governance is available at no charge. Since no payment is collected, no refund applies. HSNV reserves the right to change, limit, or discontinue the Free Tier at any time with reasonable notice.

Bundled introductory Tier1 promotional windows (e.g., up to 20 days on eligible first installations) are free promotional access and do not create a refundable transaction.

2. Paid Subscriptions

Paid tier subscriptions (e.g., Tier1 at $3/month) may be canceled at any time through your account settings or by contacting HSNV support.

  • Cancellation takes effect at the end of the current billing period.
  • You retain access to paid features until the end of the period you have already paid for.
  • No pro-rata refunds are issued for partial billing periods.
  • Upon expiry or cancellation, the product returns to the Free baseline. Your project files remain in place.

3. 14-Day Satisfaction Guarantee

If you subscribe to a paid tier and are not satisfied, you may request a full refund within 14 days of your initial paid subscription activation.

  • Contact inquiry@hsnexus.com with your account details and reason for the request.
  • This guarantee applies once per customer per product.
  • The 14-day window begins from the date your paid subscription is first activated, not from the date of any free trial or introductory window.
  • Upon approval, your subscription will be canceled and the paid tier features will revert to the Free baseline.

4. Non-Delivery or Technical Failure

If the product fails to activate, install, or function as described due to an error on our part, you are entitled to a full refund regardless of the 14-day window.

  • Contact support with your activation details, error messages, and environment information.
  • We will first attempt to resolve the issue. If the issue cannot be resolved within a reasonable timeframe, a full refund will be issued.

5. License Key Issues

If a license key is invalid, revoked in error, or fails to validate due to our systems, we will issue a replacement or full refund at your choice.

6. After the 14-Day Window

After the 14-day satisfaction guarantee period, paid subscriptions are non-refundable except where required by applicable law, including but not limited to:

  • EU/EEA: Consumer withdrawal rights under the Consumer Rights Directive.
  • Australia: Consumer guarantees under Australian Consumer Law.
  • Philippines: Consumer protection under RA 7394 (Consumer Act) and RA 11967 (Internet Transactions Act).
  • Other jurisdictions: Where mandatory local consumer-protection law grants additional refund rights.

7. Chargebacks

Filing a chargeback or payment dispute instead of contacting support may result in immediate license deactivation pending resolution. We strongly encourage you to contact us first โ€” we are committed to resolving issues directly.

This policy applies to physical products purchased through H&S Nexus storefronts. Digital software subscriptions, license keys, and other electronic deliveries sold through E-Shop Nexus do not require physical shipping.

1. Processing Time

Orders are typically processed within 1 to 2 business days after payment authorization, excluding weekends and holidays. Processing times may be longer for pre-orders, backorders, custom items, address-verification holds, fraud checks, severe weather disruptions, or items requiring special handling.

We may ship items in separate packages if products are stored in different facilities, have different handling requirements, or become available at different times.

2. Shipping Methods, Costs, and Promotions

Shipping methods, rates, and estimated delivery windows are shown at checkout based on the items in your cart, package size, weight, destination, stock location, and carrier availability.

  • Standard, express, freight, or other options may vary by destination and product category.
  • Free-shipping promotions, thresholds, exclusions, or region limits apply only where expressly stated.
  • Taxes, fuel surcharges, remote-area fees, and special-handling costs may be added where permitted by law.

3. Delivery Estimates and Tracking

Delivery timelines are estimates only and begin after dispatch, not when the order is placed. Carrier delays caused by weather, customs, labor disruptions, remote-area constraints, force majeure events, high seasonal volume, or address issues are outside our direct control.

When tracking is available, we will send shipment confirmation and tracking details by email or make them available through your account area.

4. International and Regional Shipping

We currently support storefront context for the Philippines and Qatar, while shipping availability depends on the actual destination, product restrictions, and carrier coverage.

  • International shipping costs may be calculated at checkout or quoted separately where required.
  • Delivery times vary by destination and may be extended by customs processing, local courier limitations, or regulatory review.
  • Customs duties, VAT, brokerage fees, import permits, and other destination charges are the responsibility of the recipient unless we explicitly state otherwise.
  • Some products, especially batteries, power equipment, liquids, software-restricted bundles, and regulated goods, may be unavailable for international shipment.

5. Shipping Restrictions

  • Solar panels, batteries, electrical parts, liquids, and other regulated or fragile items may require special packaging, slower transport, adult signature, or carrier-specific handling.
  • Oversized, heavy, or palletized items may ship freight, incur additional charges, or require appointment delivery.
  • Temperature-sensitive or perishable pet products may be unavailable in some regions or seasons.
  • Some products cannot be shipped to P.O. boxes, APO/FPO addresses, or certain jurisdictions due to legal, safety, or carrier restrictions.

6. Lost, Damaged, or Delayed Packages

If your package is delayed beyond the estimated window, marked delivered but missing, or arrives visibly damaged, contact us at inquiry@hsnexus.com as soon as possible so we can help investigate.

Carrier investigations, identity verification, photos, signed declarations, or police reports may be required for certain loss claims. Replacement, refund, or reshipment decisions are made after reviewing tracking data, carrier findings, product category, and claim history.

7. Address Accuracy and Failed Delivery

Please review your delivery details carefully before submitting an order. We are not responsible for failed delivery, loss, or delay resulting from an incorrect, incomplete, unsafe, or undeliverable address provided by the customer.

If a package is returned to us because of an address issue, refusal, missed appointment, or failure to collect the shipment, we may deduct return shipping, storage, disposal, and reshipment costs from any refund where permitted by law.
