By accessing the Health & Smart Nexus website (the "Site"), any brand storefront (CleanPets, Solar Nexus), creating an account, or placing an order, you agree to these Terms. If you use the Site on behalf of a company, you represent that you have authority to bind that entity.
You represent that you are at least the age of majority in your place of residence and legally able to enter into binding transactions. You agree to provide accurate information and keep your login credentials confidential.

Subject to these Terms and any applicable subscription, Health & Smart Nexus Ventures ("HSNV") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the purchased digital product solely on your own devices for your own internal development or personal use purposes. This license is conditional on your continued compliance with these Terms and an active, valid subscription where applicable.

All digital product purchases and subscriptions are tied to your H&S Nexus account, registered at hsnexus.com. Your account is the single sign-on credential for all H&S Nexus digital products โ current and future.
When a digital product validates your entitlement against H&S Nexus servers, the following data may be exchanged: a one-way hash of your license key, a one-way hash of your machine fingerprint, and your subscription status. No workspace content, source code, file names, or project data is transmitted as part of normal validation. See the Privacy Policy for full details.
All software, scaffold instruction content, governance logic, templates, rule sets, configuration schemas, and encryption infrastructure is the exclusive intellectual property of HSNV and its licensors. You are responsible for using products safely and according to all labels, instructions, manuals, safety notices, and professional guidance.
All Site content, including software, layout, text, images, graphics, branding, product compilations, and underlying technology, is owned by Health & Smart Nexus or its licensors and protected by intellectual property laws.
Except for limited personal use, you may not copy, reproduce, distribute, modify, publish, display, or create derivative works from the Site without prior written permission.
The Site may rely on third-party payment gateways such as PayMongo and PayPal, authentication providers such as Supabase, carriers, software providers, or linked websites. We are not responsible for third-party systems, policies, or content except to the extent required by law.
To the fullest extent permitted by law, the Site and all products, services, and content are provided on an "as is" and "as available" basis, without warranties of any kind except those that cannot legally be excluded.
Our aggregate liability for any claim relating to a product or order will not exceed the amount you paid for the specific product or service giving rise to the claim.
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes may be referred to the proper courts of the Philippines with subject-matter jurisdiction.
For users subject to laws requiring local governing law (e.g., EU consumer protection), those mandatory provisions remain in effect.

This Privacy Policy describes how Health & Smart Nexus Ventures ("HSNV", "we", "us") collects, uses, shares, and protects information across all our brands and products.
The software operates locally on the machine where it is installed. We do not collect your source code, repository files, repository names, AI prompts, or model responses. Optional diagnostic bundles are only shared if you deliberately confirm submission.
Project workspace files remain on your machine unless you explicitly connect to an HSNV-operated service or choose to send support material. License key hashes (SHA-256), machine fingerprint hashes, and subscription status are exchanged during validation. No workspace content is transmitted as part of normal validation.
We do not sell personal information. We share data only with:

This unified policy is currently shown with Philippines storefront defaults for customer support and returns handling.
Most eligible physical items may be returned within 7 days of delivery if unused, in original packaging, with proof of purchase, and not otherwise restricted.
Nothing in this policy limits your rights under applicable consumer protection law. If a product is defective, non-conforming, expired, counterfeit, or otherwise unlawful for sale, you may request repair, replacement, or refund, subject to inspection and verification.
Returns for non-defective items are accepted only where expressly offered. Items must be unused, resalable, in original packaging, and supported by proof of purchase. Change of mind, color preference, or price found elsewhere does not entitle you to a return unless a specific promotion says otherwise.
If repair or replacement will take more than 15 days, we will provide a substitute or compensate you for a reasonable substitute cost, as required by law.
Refunds are processed to the original payment method unless you agree otherwise. Where a cash refund is due by law, you cannot be forced to take store credit or points instead.
For approved claims involving defect, malfunction, wrong item, or merchant fault, we will provide return instructions and, where required by law, cover return shipping costs.
Please provide your invoice/order number, product, accessories, and reasonable evidence of the issue. We may inspect the product before approval. Claims may be denied if the defect is due to misuse, mishandling, unauthorized repair, or tampering.

This policy applies to digital software products distributed through E-Shop Nexus, including AI Smart Governance (VS Code extension, Workbench desktop app, governed runtime, and associated command-line tooling) plus future H&S Nexus software products where the applicable order does not provide a narrower product-specific override.
The Free Tier of AI Smart Governance is available at no charge. Since no payment is collected, no refund applies. HSNV reserves the right to change, limit, or discontinue the Free Tier at any time with reasonable notice.
Bundled introductory Tier1 promotional windows (e.g., up to 20 days on eligible first installations) are free promotional access and do not create a refundable transaction.
Paid tier subscriptions (e.g., Tier1 at $3/month) may be canceled at any time through your account settings or by contacting HSNV support.
If you subscribe to a paid tier and are not satisfied, you may request a full refund within 14 days of your initial paid subscription activation.
If the product fails to activate, install, or function as described due to an error on our part, you are entitled to a full refund regardless of the 14-day window.
If a license key is invalid, revoked in error, or fails to validate due to our systems, we will issue a replacement or full refund at your choice.
After the 14-day satisfaction guarantee period, paid subscriptions are non-refundable except where required by applicable law, including but not limited to:

This policy applies to physical products purchased through H&S Nexus storefronts. Digital software subscriptions, license keys, and other electronic deliveries sold through E-Shop Nexus do not require physical shipping.
Orders are typically processed within 1 to 2 business days after payment authorization, excluding weekends and holidays. Processing times may be longer for pre-orders, backorders, custom items, address-verification holds, fraud checks, severe weather disruptions, or items requiring special handling.
We may ship items in separate packages if products are stored in different facilities, have different handling requirements, or become available at different times.
Shipping methods, rates, and estimated delivery windows are shown at checkout based on the items in your cart, package size, weight, destination, stock location, and carrier availability.
Delivery timelines are estimates only and begin after dispatch, not when the order is placed. Carrier delays caused by weather, customs, labor disruptions, remote-area constraints, force majeure events, high seasonal volume, or address issues are outside our direct control.
When tracking is available, we will send shipment confirmation and tracking details by email or make them available through your account area.
We currently support storefront context for the Philippines and Qatar, while shipping availability depends on the actual destination, product restrictions, and carrier coverage.
If your package is delayed beyond the estimated window, marked delivered but missing, or arrives visibly damaged, contact us at inquiry@hsnexus.com as soon as possible so we can help investigate.
Carrier investigations, identity verification, photos, signed declarations, or police reports may be required for certain loss claims. Replacement, refund, or reshipment decisions are made after reviewing tracking data, carrier findings, product category, and claim history.
Please review your delivery details carefully before submitting an order. We are not responsible for failed delivery, loss, or delay resulting from an incorrect, incomplete, unsafe, or undeliverable address provided by the customer.
If a package is returned to us because of an address issue, refusal, missed appointment, or failure to collect the shipment, we may deduct return shipping, storage, disposal, and reshipment costs from any refund where permitted by law.
